SERVICE AGREEMENT
BETWEEN:
JHPS UNLIMITED (hereinafter referred to as "Company")
AND
__________________________ (hereinafter referred to as "Client")
EFFECTIVE DATE: _____________________
1. SERVICES
1.1 The Company agrees to provide services (the "Services") as outlined in Schedule A attached hereto, in accordance with the terms and conditions of this Agreement.
1.2 The Company may, at its sole discretion, modify the scope of Services with written notice to the Client.
2. PAYMENT TERMS
2.1 The Client agrees to pay the Company the fees specified in Schedule B attached hereto.
2.2 All payments are due upon receipt of invoice unless otherwise specified in Schedule B.
2.3 Late payments will incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
3. NO REFUND POLICY
3.1 NO REFUNDS: Client acknowledges and agrees that all payments made to the Company for goods or services are final and non-refundable, regardless of Client's satisfaction with the Services or goods provided.
3.2 This no-refund policy applies to all transactions, including but not limited to deposits, full payments, partial payments, and any other fees paid to the Company.
3.3 Client waives any right to dispute charges with credit card companies or financial institutions related to services or goods provided by the Company.
4. INDEMNIFICATION
4.1 Client Indemnification: The Client shall indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, causes of action, judgments, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
a) Client's use of the Services or goods provided;
b) Any injury, accident, property damage, or loss that occurs in connection with the Services or goods provided;
c) Client's breach of any representation, warranty, or obligation under this Agreement;
d) Any negligent act or omission by Client or its representatives; and
e) Any violation of applicable laws or regulations by Client.
4.2 Waiver of Claims: Client expressly waives any and all claims against the Company for any damages, injuries, or losses arising from or connected with the Services or goods provided, regardless of whether such damages, injuries, or losses were caused by the Company's negligence, acts, or omissions.
4.3 Assumption of Risk: Client acknowledges and agrees that there are inherent risks associated with the Services or goods provided and voluntarily assumes all such risks.
5. LIMITATION OF LIABILITY
5.1 IN NO EVENT SHALL THE COMPANY BE LIABLE TO THE CLIENT OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
5.2 THE COMPANY'S MAXIMUM AGGREGATE LIABILITY TO CLIENT FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO THE COMPANY DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
6. WARRANTY DISCLAIMER
6.1 THE SERVICES AND GOODS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6.2 The Company does not warrant that the Services will meet Client's requirements or expectations, or that they will be uninterrupted, timely, secure, or error-free.
7. TERM AND TERMINATION
7.1 This Agreement shall commence on the Effective Date and shall continue until the Services are completed or until terminated in accordance with the provisions herein.
7.2 The Company may terminate this Agreement at any time and for any reason upon providing written notice to the Client.
7.3 Upon termination, Client shall remain liable for payment of all fees for Services performed prior to the date of termination.
8. GENERAL PROVISIONS
8.1 Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings, or negotiations.
8.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of _________________, without regard to its conflict of law principles.
8.3 Dispute Resolution: Any dispute arising from this Agreement shall be resolved through binding arbitration in _________________ in accordance with the rules of the American Arbitration Association.
8.4 Class Action Waiver: CLIENT EXPRESSLY WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER PROCEEDING IN WHICH ANY PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CLIENT CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CLIENT.
8.5 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
8.6 Assignment: Client may not assign this Agreement without the prior written consent of the Company. The Company may assign this Agreement without the consent of Client.
8.7 Force Majeure: The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control.
8.8 Survival: Sections 3, 4, 5, 6, and 8 shall survive the termination of this Agreement.
9. ACCEPTANCE
By signing below, the parties acknowledge that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.

All Services include UNLIMITED AI usage, Data reports and Corrections based on Package level.

$2,500 setup fee + $500/month (1st month included)
Trial: $500 for 1 month
TERMS & CONDITIONS
"Corrections" refers to adjustments or modifications to the AI Agent's functionality, responses, or behavior as requested by Client.
Additional corrections beyond the allotted amount per package will be billed at the rate specified in Schedule B.
Social Media Add-ons refer to integration of the AI Agent with the specified social media platform's messaging system.
UNLIMITED AI usage is subject to fair use policy and reasonable usage patterns.
Client acknowledges that AI technology is evolving and that performance may vary. JHPS Unlimited makes no guarantees regarding specific outcomes or results from AI Agent interactions.
Strategy Reports will be delivered according to the schedule specified in the selected package and will be based on data collected by the AI Agent during its operations.
Customization options are limited to those specified in the package description.
System integration in the Advanced Package is limited to compatible systems and may require additional information or access to be provided by Client.
SCHEDULE B
PAYMENT TERMS
1. PACKAGE PAYMENT TERMS
Basic Package:
Setup Fee: $150.00 due before service initiation
Monthly Fee: $100.00 due on the 1st of each month
Trial: $150.00 for 1 month (includes setup)
Standard Package:
Setup Fee: $1,000.00 due before service initiation
Monthly Fee: $250.00 due on the 1st of each month
Trial: $250.00 for 1 month
Advanced Package:
Setup Fee: $2,500.00 due before service initiation
Monthly Fee: $500.00 due on the 1st of each month (1st month included in setup fee)
Trial: $500.00 for 1 month
2. PAYMENT METHODS
Client may make payments via:
Credit card
ACH transfer
Check (must be received 5 business days before due date)
Wire transfer
A 3% processing fee applies to all credit card transactions.
3. LATE PAYMENTS
Payments received after the 5th of the month will incur a late fee of $25.00 or 5% of the outstanding amount, whichever is greater.
Services may be suspended without notice if payment is not received by the 10th of the month.
Reactivation of suspended services will incur a $75.00 fee.
4. ADD-ON SERVICES AND ADDITIONAL CHARGES
Add-On Services:
Additional Social Media Platform Integration: $150.00 setup + $50.00/month per platform
Custom API Integration: Starting at $500.00 (quote provided after assessment)
White-label Solution: $1,000.00 setup + $100.00/month
Custom Domain Configuration: $250.00 setup
Additional Adjustments and Corrections:
Additional corrections beyond package allowance: $75.00 per correction
Emergency corrections (completed within 24 hours): $150.00 per correction
Major AI behavior modifications: $350.00 per modification
Additional customization beyond package specifications: $200.00 per hour
Reporting Services:
Custom report development: $300.00 per report type
Additional report deliveries: $100.00 per report
Data export in custom format: $150.00 per export
5. CONTRACT TERMS
Client may cancel services at any time with written notice to the Company.
No refunds will be issued for any payments already made, including but not limited to setup fees, monthly fees, or add-on charges.
Package upgrades available at any time (prorated upgrade fees apply)
6. CANCELLATION AND REFUND POLICY
Client must provide written notice of cancellation to JHPS Unlimited.
Cancellation will be effective at the end of the current billing cycle.
As specified in Section 3 of the main Agreement, NO REFUNDS will be issued for any services, setup fees, monthly fees, or add-on charges under any circumstances, regardless of when Client cancels the service.
Any outstanding balances at the time of cancellation remain payable in full.
JHPS Unlimited reserves the right to immediately terminate access to all services upon receipt of cancellation notice.
7. PRICE ADJUSTMENTS
JHPS Unlimited reserves the right to adjust pricing with 30 days written notice to Client.
