SERVICE AGREEMENT

BETWEEN:

JHPS UNLIMITED (hereinafter referred to as "Company")

AND

_________________________________ (hereinafter referred to as "Client")

1. SERVICES

1.1 The Company agrees to provide services (the "Services") as outlined in Schedule A attached hereto, in accordance with the terms and conditions of this Agreement.

1.2 The Company may, at its sole discretion, modify the scope of Services with written notice to the Client.

2. PAYMENT TERMS

2.1 The Client agrees to pay the Company the fees specified in Schedule B attached hereto.

2.2 All payments are due upon receipt of invoice unless otherwise specified in Schedule B.

2.3 Late payments will incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

3. NO REFUND/RETURN POLICY

3.1 NO REFUNDS: Client acknowledges and agrees that all payments made to the Company for goods or services are final and non-refundable, regardless of Client's satisfaction with the Services or goods provided.

3.2 This no-refund policy applies to all transactions, including but not limited to deposits, full payments, partial payments, and any other fees paid to the Company.

3.3 Client waives any right to dispute charges with credit card companies or financial institutions related to services or goods provided by the Company.

4. INDEMNIFICATION

4.1 Client Indemnification: The Client shall indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, causes of action, judgments, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

a) Client's use of the Services or goods provided;

b) Any injury, accident, property damage, or loss that occurs in connection with the Services or goods provided;

c) Client's breach of any representation, warranty, or obligation under this Agreement;

d) Any negligent act or omission by Client or its representatives; and

e) Any violation of applicable laws or regulations by Client.

4.2 Waiver of Claims: Client expressly waives any and all claims against the Company for any damages, injuries, or losses arising from or connected with the Services or goods provided, regardless of whether such damages, injuries, or losses were caused by the Company's negligence, acts, or omissions.

4.3 Assumption of Risk: Client acknowledges and agrees that there are inherent risks associated with the Services or goods provided and voluntarily assumes all such risks.

5. LIMITATION OF LIABILITY

5.1 IN NO EVENT SHALL THE COMPANY BE LIABLE TO THE CLIENT OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.

5.2 THE COMPANY'S MAXIMUM AGGREGATE LIABILITY TO CLIENT FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO THE COMPANY DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

6. WARRANTY DISCLAIMER

6.1 THE SERVICES AND GOODS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6.2 The Company does not warrant that the Services will meet Client's requirements or expectations, or that they will be uninterrupted, timely, secure, or error-free.

7. TERM AND TERMINATION

7.1 This Agreement shall commence on the Effective Date and shall continue until the Services are completed or until terminated in accordance with the provisions herein.

7.2 The Company may terminate this Agreement at any time and for any reason upon providing written notice to the Client.

7.3 Upon termination, Client shall remain liable for payment of all fees for Services performed prior to the date of termination.

8. GENERAL PROVISIONS

8.1 Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings, or negotiations.

8.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

8.3 Dispute Resolution: Any dispute arising from this Agreement shall be resolved through binding arbitration in Fairfax County, Virginia in accordance with the rules of the American Arbitration Association.

8.4 Class Action Waiver: CLIENT EXPRESSLY WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER PROCEEDING IN WHICH ANY PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CLIENT CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CLIENT.

8.5 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

8.6 Assignment: Client may not assign this Agreement without the prior written consent of the Company. The Company may assign this Agreement without the consent of Client.

8.7 Force Majeure: The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

8.8 Survival: Sections 3, 4, 5, 6, and 8 shall survive the termination of this Agreement.

9. ACCEPTANCE

By signing below, the parties acknowledge that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.

4. Client acknowledges that AI technology is evolving and that performance may vary. JHPS Unlimited makes no guarantees regarding specific outcomes or results from AI-powered services.

5. Strategy reports and consultations will be delivered according to the schedule specified in the selected package and will be based on data collected during system operations.

6. Customization options are limited to those specified in the package description unless additional services are purchased.

7. System integrations are limited to compatible systems and may require additional information or access provided by Client.

8. Monthly maintenance fees for mobile apps and websites include standard updates and corrections as specified. Major redesigns or feature additions will be quoted separately.

9. All services operate on 28-day billing cycles unless otherwise specified, generating 13 billing periods per year.

10. Setup fees are due before service initiation. Monthly/cycle fees are due on the 1st of each billing period.

3. PAYMENT METHODS

Client may make payments via:

- Credit card (4% processing fee applies)

- ACH transfer (no fee)

- Check (must be received 5 business days before due date)

- Wire transfer (no fee)

4. LATE PAYMENTS

- Payments received after the 5th of the billing cycle will incur a late fee of $25 or 5% of the outstanding amount, whichever is greater.

- Services may be suspended without notice if payment is not received by the 10th of the billing cycle.

- Reactivation of suspended services will incur a $75 reactivation fee.

5. ADD-ON SERVICES AND ADDITIONAL CHARGES

Integration Add-Ons:

- Additional Social Media Platform: $150 setup + $50 per 28-day cycle (per platform)

- Custom API Integration: Starting at $500 (final quote after assessment)

- White-Label Solution: $1,000 setup + $100 per 28-day cycle

- Custom Domain Configuration: $250 one-time setup

Support Services:

- Additional Corrections (beyond package allowance): $75 per correction

- Emergency Corrections (24-hour completion): $150 per correction

- Major System Modifications: $350 per modification

- Custom Development Work: $200 per hour

Reporting Services:

- Custom Report Development: $300 per report type

- Additional Report Deliveries: $100 per report

- Data Export in Custom Format: $150 per export

6. CONTRACT TERMS

- Minimum Commitment: No long-term contracts required for platform packages

- Cancellation: Client may cancel services at any time with written notice

- Cancellation Effective Date: End of current billing cycle

- No Refunds: As specified in Section 3 of main Agreement, no refunds will be issued for any payments already made

- Outstanding Balances: Any unpaid amounts remain due in full upon cancellation

- Service Access: JHPS Unlimited reserves the right to immediately terminate access upon receipt of cancellation notice

7. PACKAGE UPGRADES AND DOWNGRADES

- Upgrades: Available at any time; prorated charges apply for current cycle

- Downgrades: Effective at start of next billing cycle

- Setup Fees: May apply when upgrading to services requiring new implementations

- Feature Access: Changes take effect according to new package specifications

8. IMPLEMENTATION PROGRAM PRICING

Rapid Deployment Program:

- Additional Fee: $2,500 (one-time)

- Timeline: 30-day accelerated implementation

- Includes priority support and dedicated implementation team

Enterprise Transformation Initiative:

- Investment: $15,000 - $50,000 (quote based on scope)

- Timeline: 3-6 months

- Includes comprehensive analysis, custom architecture, and change management

Pilot Success Program:

- Investment: 50% of selected package setup fee

- Timeline: 60-day trial period

- Performance guarantees and success metrics included

9. ANNUAL BILLING DISCOUNTS

- Platform Packages: 10% discount on annual prepayment

- Executive Assistant Services: 10% discount on annual prepayment

- Other Services: 15% discount available for 12-month prepayment

- Nonprofit Discounts: Additional 20% off standard pricing (verification required)

10. PRICE ADJUSTMENTS

JHPS Unlimited reserves the right to adjust pricing with 30 days written notice to Client. Current pricing will be honored through:

- End of current billing cycle for monthly clients

- End of prepaid period for annual clients

- Completion of fixed-price projects

11. TAXES

All prices are exclusive of applicable sales tax, use tax, value-added tax, or other government-imposed taxes. Client is responsible for all such taxes except those based on JHPS Unlimited's income.

12. EXPENSE REIMBURSEMENT

For custom development projects requiring travel, third-party services, or specialized tools:

- Prior written approval required for expenses over $250

- Expenses billed at cost plus 15% administrative fee

- Receipts provided upon request

This Schedule B is effective as of the Agreement date and supersedes all previous pricing agreements between the parties.
